Business terms
The terms for organisations using Regimate Enterprise and the Finder API.
In short. Your organisation owns its data and we process it for you under our DPA. Plans are billed in advance in GBP plus VAT, renew automatically and can be cancelled at the end of any period. If you go over your plan limits nothing is deleted; you just can't add more until you're back within them.
1. Scope
These terms form a contract between Echo Thirteen Capital Ltd, a company registered in England and Wales (company number 15053443), registered office 128 City Road, London EC1V 2NX (Regimate, we), and the business or organisation that signs up for Regimate Enterprise or the Finder API (the Customer, you). The person accepting them confirms they have authority to bind the Customer.
The contract is made up of, in order of priority if they conflict: any signed order form; our Data processing addendum; our Finder API terms (for API use); these Business terms; and our Acceptable use policy. Our consumer Terms of service continue to apply to each individual's personal Regimate account.
2. Definitions
- Authorised Users: your employees, contractors and others you invite to your organisation or give API keys to.
- Customer Data: data you or your Authorised Users put into Regimate, including your asset register, locations, inspections, contractor submissions and messages about your assets.
- Plan: the subscription plan you choose, with the limits shown on our Pricing page or in an order form.
- Service: Regimate Enterprise, the Finder API, the developer portal and related support.
3. Organisations and users
- Each organisation has an owner and can have admins, managers and viewers. You decide who has access and are responsible for what your Authorised Users do.
- Invitations are accepted when the invited person signs in with a verified email address that matches the invitation. Pending invitations count towards your member limit.
- Keep sign-in details and API keys secure and tell us promptly at security@regimate.app if you suspect unauthorised access.
- An organisation owner must transfer or delete the organisation before deleting their personal account.
4. Plans and limits
Each Plan has limits, such as active assets and members for Enterprise, or lookups per month, per day and per minute for the Finder API. Archived and disposed assets don't count as active. If you exceed a limit, for example after a downgrade or cancellation, nothing is deleted, but your organisation becomes read-only for new additions until you're back within your limits or upgrade. Contractor API keys and the submissions inbox are available on Business plans and above.
5. Free plans and trials
- Enterprise has a free plan, and self-serve paid plans include a 14-day free trial. A payment card is required and the trial is available once per organisation and once per card. You'll be charged when the trial ends unless you cancel before then.
- The Finder API's free Sandbox plan has fixed limits and stops when they're reached. Paid Finder API plans have no trial.
- Free plans and trials are provided as they are, and we may change or withdraw them.
6. Fees and payment
- Prices are in pounds sterling and exclude VAT, which is added at the applicable rate. Payments are processed by Stripe.
- Subscriptions are billed in advance, monthly or annually, and renew automatically for the same period until cancelled.
- Upgrades take effect immediately and the prorated difference is charged straight away. Downgrades take effect immediately and unused time is credited against your next invoice.
- On paid Finder API plans, lookups beyond your monthly allowance are charged at your Plan's per-lookup rate and added to your next invoice. Any outstanding usage is billed when a subscription ends or the account is deleted.
- If a payment fails we'll retry it. While a Finder API payment is overdue, your included lookups continue but additional usage is paused. If we still can't collect payment, the subscription is cancelled and you move to the free plan.
- Custom Enterprise agreements are invoiced as set out in the order form. Unless it says otherwise, invoices are due within 30 days.
- We may change our prices by giving you at least 30 days' notice before the change applies to your subscription. Changes never apply part-way through a period you've paid for.
7. Cancellation and refunds
You can cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period and you keep access until then. Fees and usage charges are non-refundable except where these terms or the law say otherwise.
8. Customer Data
- You own your Customer Data. You give us the rights we need to host, process and display it to provide the Service, and we'll process personal data in it only as described in our Data processing addendum.
- You're responsible for the accuracy of your Customer Data and for having a lawful basis to give it to us, including data about your staff, contractors and inspectors.
- Public asset pages show the asset's details and your organisation's name so finders can contact you. Don't put information you need to keep confidential in fields that appear on them.
- When you delete your organisation, we delete its Customer Data from the live system. Deleted data may remain in backups for up to 30 days.
9. Contractor integrations
If you issue contractor API keys, you're responsible for who you give them to and what's submitted with them. Submissions arrive in your inbox for your admins to accept, merge or reject. Keys can be set to expire and can be revoked at any time.
10. What we'll do
- Provide the Service with reasonable skill and care, in line with good industry practice.
- Keep the Service secure, as described on our Security page.
- Provide support by email at support@regimate.app during UK business hours.
- Tell you at least 30 days in advance about changes that materially reduce the functionality of a paid Plan.
Service levels, if any, are set out in an order form.
11. What you'll do
- Use the Service in line with the law and our Acceptable use policy.
- Not resell, sublicense or provide the Service to third parties except as these terms allow.
- Not use the Service to build a competing product or to compile personal information.
- Give us accurate billing information and keep it up to date.
12. Confidentiality
Each of us will keep the other's confidential information confidential, use it only for the purposes of this contract and share it only with people who need to know it and are bound by similar obligations. This doesn't apply to information that is public, already known, independently developed, or must be disclosed by law.
13. Intellectual property
We own the Service and everything we provide as part of it. You own your Customer Data. If you give us feedback, we may use it without obligation to you.
14. Warranties
Each of us confirms it has the right to enter into this contract. Apart from what these terms expressly say, the Service is provided without other warranties, and we don't guarantee that it will be uninterrupted or error-free, or that any item or asset will be recovered.
15. Liability
- Neither of us is liable for loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.
- Each party's total liability in any 12-month period is limited to the fees paid and payable by you in the 12 months before the event giving rise to the claim. For free plans, our total liability is limited to £100.
- These limits don't apply to liability for death or personal injury caused by negligence, fraud, your payment obligations, a party's indemnity obligations, or anything else that can't be limited by law.
16. Indemnities
We'll defend you against any third-party claim that the Service infringes their UK intellectual property rights, and pay any resulting damages or settlement we agree, as long as you tell us promptly, let us control the defence and co-operate. You'll do the same for us against any claim arising from your Customer Data or your use of the Service in breach of this contract.
17. Suspension
We may suspend access if payment is overdue, if your use poses a security risk or seriously breaches our Acceptable use policy, or if the law requires it. Where it's reasonable we'll give notice first and restore access as soon as the issue is resolved.
18. Term and termination
This contract continues while you have an organisation or Finder API account. Either of us may end it if the other materially breaches it and doesn't put the breach right within 30 days of notice, or becomes insolvent. When it ends, your access stops and we'll delete Customer Data as described in section 8. Sections that by their nature should survive, including those on fees owed, confidentiality, liability and law, will survive.
19. General
- Entire agreement: this contract is the whole agreement between us about its subject matter.
- Changes: we may update these terms by giving at least 30 days' notice; changes apply from your next renewal unless they're required by law.
- Force majeure: neither of us is responsible for delays caused by events beyond our reasonable control.
- Assignment: neither of us may transfer this contract without the other's consent, except as part of a merger or sale of the business.
- Notices: we'll send notices to your account owner's email address; send yours to support@regimate.app.
- Third parties: no one else has rights under this contract.
- Law: this contract and any dispute about it are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
